KM-tronics B.V. – Global Terms of Use and Sale

1. Scope

These Terms of Use and Sale apply to all quotations, sales, repairs, diagnostic services, cloning services, refurbishment work, technical support, and other services provided by KM-tronics B.V.

2. Orders and Acceptance

All quotations are non-binding unless explicitly stated otherwise in writing.
An order is considered accepted once confirmed by the customer verbally, electronically, or in writing.
By submitting a component or placing an order, the customer confirms they are legally entitled to do so.

3. Diagnostic and Repair Services

KM-tronics performs all services with reasonable care, skill, and professional workmanship.
Electronic components may contain hidden or secondary faults that are not detectable during initial inspection.
Therefore, successful repair cannot be guaranteed in every case.
Diagnostic and inspection fees may apply even if a repair is deemed impossible or uneconomical.

4. Shipping and Risk

Unless otherwise agreed in writing, all shipments are made at the customer's risk.
Customers are responsible for proper packaging of components sent to KM-tronics.
KM-tronics recommends using insured and trackable shipping services.
Risk of loss or damage during transport remains with the shipping carrier.

5. Warranty

Warranty applies only to the specific repair or service performed by KM-tronics.
Warranty does not cover:
- Physical damage.
- Water, moisture, corrosion, or fire damage.
- Damage caused by improper installation.
- Damage resulting from external faults within the vehicle or equipment.
- Tampering, modification, or opening of the repaired unit by unauthorized parties.
Warranty is limited to repair, replacement, or refund at the sole discretion of KM-tronics.

6. Limitation of Liability

KM-tronics' total liability shall not exceed the amount paid by the customer for the relevant product or service.
KM-tronics shall not be liable for any indirect, consequential, incidental, or economic losses, including but not limited to loss of profits, business interruption, vehicle downtime, towing costs, or loss of data.

7. Payments

Payment must be made within the period stated on the invoice.
KM-tronics reserves the right to suspend work or withhold shipment until full payment has been received.
Any costs incurred for debt collection or recovery of unpaid invoices shall be borne by the customer where permitted by law.

8. Incorrect Orders and Returns

If a customer places an incorrect order, orders the wrong product, or returns a product due to customer error, KM-tronics reserves the right to charge an administration fee of €25.00 per incorrect order.
Shipping costs are non-refundable unless the error was made by KM-tronics.
Returned products must be in their original condition and packaging where applicable.
Custom-made, programmed, cloned, modified, or customer-specific products may not be eligible for return.

9. Intellectual Property

All software, hardware designs, technical documentation, diagnostic procedures, testing methods, and repair processes developed by KM-tronics remain the intellectual property of KM-tronics unless otherwise agreed in writing.
Customers may not copy, distribute, reverse engineer, or commercially exploit such materials without prior written permission.

10. Force Majeure

KM-tronics shall not be liable for delays or failure to perform obligations caused by circumstances beyond its reasonable control, including but not limited to natural disasters, supplier failures, transport disruptions, power outages, cyber incidents, governmental actions, or labor disputes.

11. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Netherlands.

12. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
